Lemonsoft lowers its net sales growth forecast for 2026 due to the sale of Finvoicer

Lemonsoft announced in a press release on 15 July 2026 that it had agreed to sell Finvoicer Group Oy to eCount Tilitoimistopalvelut Oy. As a result of the agreed sale of Finvoicer, Lemonsoft lowers its net sales growth forecast for 2026 by an amount corresponding to the net sales that will no longer be included in the Group’s consolidated net sales following the transaction. The profitability forecast remains unchanged.

The transaction is expected to be completed in August 2026. The new forecast is subject to the completion of the sale of Finvoicer and will take effect upon completion of the transaction.

New forecast for 2026:
Lemonsoft estimates that the net sales for the financial year 2026 will increase by −1–5 percent compared to the financial year 2025, and that adjusted EBIT will be 23–29 percent of net sales in the financial year 2026.

Lemonsoft tiedotti lehdistötiedotteella 15.7.2026 sopineensa Finvoicer Group Oy:n myynnistä eCount Tilitoimistopalvelut Oy:lle. Finvoicerin myynnin seurauksena Lemonsoft laskee vuoden 2026 tulosennustettaan liikevaihdon kasvun osalta määrällä, joka vastaa kaupan myötä konsernista poistuvaa liikevaihtoa. Kannattavuutta koskeva tulosennuste säilyy ennallaan.

Kaupan arvioidaan toteutuvan elokuussa 2026. Uusi tulosennuste edellyttää Finvoicerin myynnin toteutumista ja astuu voimaan kaupan toteutuessa.

Lemonsoft Oyj to sell Finvoicer Group Oy to eCount Tilitoimistopalvelut Oy

Lemonsoft Oyj ("Lemonsoft") has agreed with eCount Tilitoimistopalvelut Oy ("eCount") on a transaction in which Lemonsoft sells the entire share capital of its subsidiary Finvoicer Group Oy ("Finvoicer") to eCount. The arrangement supports Lemonsoft's focus on its core business and enables Finvoicer to continue developing as part of eCount's growing financial administration group.

Lemonsoft acquired Finvoicer in 2023 to strengthen its offering in invoice lifecycle management. Finvoicer provides solutions that enable especially small and medium-sized businesses to handle invoice sending and receiving, payment monitoring, settlement and reporting, payment reminders, debt collection, accounting, payroll, and preparation of financial statements. Last year, Lemonsoft sharpened its strategic focus, which emphasizes market leadership in software solutions particularly for manufacturing and wholesale segments. The sale of Finvoicer advances Lemonsoft's concentration on operations aligned with the new strategy and the achievement of its targets.

In the arrangement, Lemonsoft sells the entire share capital of Finvoicer to eCount. Billgo Oy, which offers invoicing software for small businesses under the HelpostiLasku brand, and Finvoicer Rahoitus Oy, which focuses on invoice financing, will be transferred from Finvoicer directly into Lemonsoft's ownership and will therefore not transfer to eCount as part of the transaction. Finvoicer employs a total of approximately 20 professionals. The arrangement is expected to be completed during August 2026.

Järjestelyssä Lemonsoft myy Finvoicerin koko osakekannan eCountille. HelpostiLasku-brändillä laskutusohjelmistoa pienyrityksille tarjoava Billgo Oy ja laskurahoitukseen keskittyvä Finvoicer Rahoitus Oy siirtyvät Finvoicerista suoraan Lemonsoftin omistukseen eivätkä siten siirry eCountille osana kauppaa. Finvoicer työllistää yhteensä noin 20 asiantuntijaa. Järjestely on tarkoitus toteuttaa elokuun 2026 aikana.

Lemonsoft laskee vuoden 2026 liikevaihdon kasvua koskevaa tulosennustettaan. Kannattavuutta koskeva tulosennuste säilyy ennallaan.

Liikevaihtoa koskevan tulosennusteen laskun taustalla ovat Lixani Oy:n rahoitusjärjestelyn vaikutus konsernin liikevaihtoon sekä odotettua heikompi liikevaihdon kehitys erityisesti Lemonsoftin tytäryhtiö Finvoicerissa ja Lemonsoft Oyj:n SaaS- ja konsultointiliikevaihdossa.

Lemonsoft tiedotti lehdistötiedotteella 1.7.2026 Lixani Oy:n rahoitusjärjestelystä. Rahoitusjärjestelyn seurauksena Lixani Oy ei enää ole Lemonsoft Oyj:n tytäryhtiö, eikä sitä näin ollen enää yhdistellä tytäryhtiönä Lemonsoftin konsernitilinpäätökseen. Tällä on alentava vaikutus Lemonsoft-konsernin vuoden 2026 liikevaihtoon.

Finvoicerin kehitykseen on vaikuttanut erityisesti kohonnut asiakaspoistuma, mikä heijastuu erityisesti transaktio- ja tilitoimistopalveluliikevaihdon heikkoon kehitykseen.

Lemonsoft Oyj:n liikevaihdon odotettua heikompaan kehitykseen on vaikuttanut asiakaspoistuma, joka on pysynyt alkuvuonna edellisvuoden tasolla eikä ole pienentynyt odotusten mukaisesti. Asiakaspoistumaa ovat lisänneet muun muassa asiakkaiden taloudelliset vaikeudet ja konkurssit sekä asiakasyrityksiin kohdistuneet yrityskaupat. Asiakaspoistuma on ollut koholla erityisesti muilla kuin Lemonsoftin ydintoimialoilla.

Lemonsoftin ydintoimialoilla markkina on osoittanut elpymisen merkkejä ja uusmyynnin alkupään aktiviteettitaso on loppukevään aikana noussut merkittävästi ja samalla tarjouskanta on kasvanut olennaisesti. Noussut uusmyynnin aktiviteettitaso ei ole kuitenkaan vielä realisoitunut liikevaihdoksi siinä määrin, että se kompensoisi asiakaspoistuman ja muiden edellä kuvattujen tekijöiden vaikutusta tilikauden 2026 liikevaihtoon.

Lemonsoft arvioi, että tilikauden 2026 liikevaihto kasvaa 1-7 prosenttia verrattuna tilikauteen 2025, ja että oikaistu liikevoitto on 23-29 prosenttia liikevaihdosta tilikaudella 2026.

Lemonsoft lowers its net sales growth forecast for 2026. The profitability forecast remains unchanged.

The lowering of the net sales growth forecast is due to the impact of Lixani Oy’s financing arrangement on the Group’s net sales, as well as weaker-than-expected net sales development particularly in Lemonsoft’s subsidiary Finvoicer and in Lemonsoft Oyj’s SaaS and consulting net sales.

Lemonsoft announced Lixani Oy’s financing arrangement in a press release on 1 July 2026. As a result of the financing arrangement, Lixani Oy is no longer a subsidiary of Lemonsoft Oyj and will therefore no longer be consolidated as a subsidiary in Lemonsoft’s consolidated financial statements. This has a negative impact on Lemonsoft Group’s net sales for 2026.

Finvoicer’s development has been affected particularly by elevated customer churn, which is reflected especially in weak development of transaction and accounting services net sales.

The weaker-than-expected development of Lemonsoft Oyj’s net sales has been affected by customer churn, which has remained at the previous year’s level during the first part of the year and has not decreased as expected. Customer churn has been driven by, among other things, customers’ financial difficulties and bankruptcies, as well as acquisitions involving customer companies. Customer churn has been elevated particularly outside Lemonsoft’s core industries.

In Lemonsoft’s core industries, the market has shown signs of recovery, and top-of-funnel sales activity has increased significantly during late spring. At the same time, the sales proposal pipeline has grown substantially. However, the increased level of new sales activity has not yet converted into net sales to an extent that would offset the impact of customer churn and the other factors described above on net sales for the financial year 2026.

Lemonsoft estimates that the net sales for the financial year 2026 will increase by 1-7 percent compared to the financial year 2025, and that adjusted EBIT will be 23-29 percent of net sales in the financial year 2026.
